1. Introduction and Acceptance of Terms
These Terms and Conditions ("Terms") govern your access to and use of the Palit Wallet software application, website, browser extension, mobile app, and any related services (collectively, the "Services" or "Wallet") provided by Palit Wallet.
Palit Wallet is owned and operated by Dela Cruz Global (the "Company," "we," "us," or "our").
By downloading, installing, accessing, or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.
The Services consist of non-custodial wallet software that allows you to generate, store, and manage your own cryptographic keys and interact with blockchain networks for Digital Assets (as defined below).
2. Non-Custodial Nature of the Wallet
The Wallet is a non-custodial (self-custodial) tool. This means:
- You, and only you, control your private keys, seed phrases (recovery phrases), passwords, PINs, and any other access credentials ("Private Information").
- We do not store, have access to, or control your Private Information, Digital Assets, or wallet addresses.
- We cannot recover your Private Information, reset passwords, or access your funds if you lose or compromise them.
- All transactions are initiated and signed directly by you on the relevant blockchain networks. We do not custody, transfer, or hold any Digital Assets on your behalf.
- You bear sole responsibility for the security and backup of your Private Information. Loss of your seed phrase or private keys may result in permanent loss of access to your Digital Assets, with no recourse to us.
3. Eligibility and User Representations
You must be at least 18 years old (or the age of majority in your jurisdiction) and capable of entering into a binding agreement. You represent and warrant that:
- You are not located in, or a resident of, any jurisdiction where use of the Services is prohibited by law (including sanctioned countries or territories under applicable export controls or sanctions lists, such as those administered by OFAC).
- Your use of the Services complies with all applicable laws, regulations, and these Terms.
- You will not use the Services for any illegal or prohibited activities.
We reserve the right to restrict or terminate access if we reasonably believe you violate these requirements.
4. License to Use the Services
Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Wallet solely for your personal or internal business use (as applicable) on devices you own or control.
You may not: copy, modify, reverse engineer, decompile, distribute, or create derivative works of the Wallet, except as expressly permitted by law.
5. Digital Assets and Blockchain Interactions
"Digital Assets" include cryptocurrencies, tokens, NFTs, or other blockchain-based assets supported by the Wallet.
The Wallet enables you to view, send, receive, and interact with supported Digital Assets via compatible blockchain networks.
We do not own, control, or endorse any Digital Assets, blockchains, or third-party protocols/dApps you access through the Wallet.
Blockchain transactions are irreversible, may incur network fees (gas), and are subject to blockchain congestion, delays, or failures. We are not responsible for such issues.
You are solely responsible for the accuracy of transaction details (e.g., recipient addresses) and any resulting losses from errors.
6. Risks and User Responsibilities
Use of the Services involves significant risks, including but not limited to:
- Loss of Private Information leading to permanent loss of Digital Assets.
- Phishing, malware, hacking, or unauthorized access to your device or credentials.
- Volatility in Digital Asset values.
- Smart contract vulnerabilities, network failures, or third-party protocol risks.
- Regulatory changes that may affect usability or legality.
You acknowledge these risks and agree to use the Services at your own risk. You are responsible for implementing appropriate security measures (e.g., secure backups, hardware wallets where applicable, and avoiding sharing credentials).
7. No Financial, Investment, or Legal Advice
The Services are provided for informational and technical purposes only. We do not provide investment, financial, tax, or legal advice. Any information displayed (e.g., balances, prices) is for convenience and may be inaccurate or delayed. You should consult independent professionals before making decisions involving Digital Assets.
8. Intellectual Property
All rights, title, and interest in the Wallet, including software, logos, and content, belong to Palit Wallet and/or Dela Cruz Global or our licensors. You retain ownership of your Digital Assets and Private Information.
9. Prohibited Conduct
You agree not to use the Services to:
- Violate any laws, including those related to money laundering, sanctions, fraud, or securities.
- Engage in harmful activities such as distributing malware or interfering with the Services.
- Impersonate others or engage in deceptive practices.
10. Disclaimers
THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.
We do not warrant that the Services will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We disclaim all liability for any losses related to blockchain networks, third-party services, or user errors.
11. Limitation of Liability
To the fullest extent permitted by law, in no event shall the Company, its affiliates, officers, directors, employees, or agents (including Dela Cruz Global) be liable for any indirect, incidental, special, consequential, or punitive damages (including loss of Digital Assets, profits, or data) arising from or related to your use of the Services, even if advised of the possibility of such damages.
Our total liability shall not exceed the amount you paid us in the past 12 months, or $100 if no fees were paid.
12. Indemnification
You agree to indemnify, defend, and hold harmless Palit Wallet, Dela Cruz Global, and their respective affiliates from any claims, liabilities, damages, losses, and expenses (including legal fees) arising from your use of the Services, violation of these Terms, or infringement of third-party rights.
13. Termination
We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including suspected violations. Upon termination, these Terms continue to apply to prior use. You remain responsible for your Digital Assets and Private Information.
14. Modifications to Terms
We may update these Terms from time to time. Continued use after changes constitutes acceptance of the revised Terms. We will post the updated version with a new "Last Updated" date.
15. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Philippines, without regard to conflict of laws principles.
Any disputes shall be resolved exclusively in the courts of the Philippines or, at our option, through binding arbitration in accordance with the rules of the Philippine Dispute Resolution Center, Inc. or equivalent. You waive class action rights to the extent permitted by law.
16. Miscellaneous
- Severability: If any provision is invalid, the remainder remains in effect.
- No Waiver: Our failure to enforce a right does not waive it.
- Entire Agreement: These Terms constitute the full agreement between you and us regarding the Services.
